Terms of Service

1. Scope

These Terms of Service govern the sale of products and related services provided through the MIWA online store and related websites by MIWA Co., Ltd. (Kabushiki Kaisha Miwa). By using the Services or placing an order, you agree to these Terms, the Privacy Policy, the Returns and Refunds Policy, and the Disclosure Based on the Specified Commercial Transactions Act published on this website.

2. Orders and Contract Formation

An order is an offer to purchase. A sales contract is formed when we send an order confirmation or shipping confirmation. We may reject or cancel an order for reasonable grounds, including lack of stock, unsuccessful payment authorization, an obvious error, or suspected fraud. Any amount already received will be refunded as required by law.

3. Product Information, Prices and Charges

The price applicable to an order is the price displayed when the order is submitted. Unless expressly stated otherwise, prices are in Japanese yen and include Japanese consumption tax. Shipping charges, payment fees and other customer-borne charges will be clearly displayed on the product page, cart or checkout page. If a system or display error results in an obviously unreasonable price, we may contact you for confirmation or cancel the order.

4. Payment

Available payment methods and the timing of payment are shown at checkout. You must provide accurate and complete payment information and be authorized to use the selected payment method.

5. Delivery

Estimated dispatch and delivery times are stated on the product page, in the Disclosure Based on the Specified Commercial Transactions Act, or in order notices. We will provide reasonable assistance for delays caused by carriers, customs, natural disasters or other events beyond our reasonable control.

6. Cancellations, Returns and Refunds

Cancellations, returns, exchanges and refunds are governed by our Returns and Refunds Policy. The statutory cooling-off system generally does not apply to mail-order sales in Japan. Nothing in these Terms limits rights that cannot lawfully be excluded in relation to defective, damaged, incorrect or non-conforming goods.

7. Accounts and Prohibited Conduct

You must provide accurate, current and complete information and safeguard your account credentials. You may not transfer accounts, impersonate others, conduct fraudulent transactions, interfere with the website, infringe intellectual property rights or use the Services unlawfully.

8. Intellectual Property

Trademarks, text, images, designs and other content on this website belong to us or their lawful owners. They may not be copied, distributed, modified or otherwise used beyond personal, non-commercial use without prior written permission.

9. Third-Party Services and Shopify

The store uses Shopify's technology, but product sales contracts are made directly between you and us. Third-party payment, shipping and linked services may be governed by their own terms.

10. Limitation of Liability

To the extent permitted by applicable law, we are not liable for indirect or special loss caused by force majeure, third-party services, or circumstances attributable to the customer. This limitation does not apply to liability that cannot be excluded under the Consumer Contract Act or other mandatory law, or to loss caused by our wilful misconduct or gross negligence.

11. Changes to These Terms

We may amend these Terms where permitted by law and reasonably necessary. Material changes will be announced in advance on the website or by another appropriate method and will take effect on the date stated in the notice.

12. Governing Law and Jurisdiction

These Terms are governed by Japanese law. Disputes relating to the Services will be submitted in the first instance to the Tokyo District Court or another Japanese court having jurisdiction under applicable law, without prejudice to any mandatory jurisdiction available to consumers.
